COMPANY
REGISTRATION AND FURTHER JUDICIAL STEPS PROCESSING
The registration of a company in
Bulgaria includes the following steps:
To defy the type of company to be set up,
a single-member limited liability company (a single-shareholder
company or sole trader (ST) or a joint stock company (JSC) (with
two or more shareholders).
To submit the official address of the
company, which can be our office address too.
To defy the company's name and reserve its uniqueness in the
commercial registrar.
To form the company's share capital (at least 5,000 BGN
worth about 2,500 euro)
Issuance of the company's documents
required by the Bulgarian Law, such as:
Constituent Assembly minutes
A Constituent Act for the single-member limited liability
company (ST) and Memorandum of Association for the joint-stock
company (JSC).
Notarized signature specimens of the person/s, who shall
represent the company
Declaration in compliance with Art. 142 of the Commercial
Act
Application signed by the company's manager to add the
company in the commercial registrar;
There are two options:
A.- To sign the documents in Spain in front of a notary, to
certify and seal them and send them to Bulgaria for
translation and certification.
B.- To sign the documents in Bulgaria in front of a notary
in both the languages
Once the documents are ready,
further steps follow:
Deposit the company’s initial share capital in an account
and to issue a certificate
Submit all the documents to the court in order to proceed
with the addition in the commercial registrar. In ten
working days after submission, the court comes up with a
decision, which certifies the addition of the company
Request the seal of the new company
Request an interim certification under BULSTAT number (a tax
identification number in Bulgaria)
Activate the account transforming it into current account
Get the BULSTAT identification card in 20 days, which is the
company's identity number in Bulgaria.
